Terms of Use
Last updated:
These Terms of Use (“Terms”) are a binding agreement between you and uhhh.ai (“uhhh.ai,” “we,” “us,” or “our”) and govern your use of the uhhh.ai desktop application, our website at uhhh.ai, and our related services (collectively, the “Service”). We offer the Service worldwide.
uhhh.ai is operated by us from Alberta, Canada. You can reach us at support@uhhh.ai.
Please read these Terms carefully. By installing, signing in to, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
uhhh.ai is a reverse-dictionary tool that helps you find a word from a description. You describe a concept, our backend asks our AI provider (OpenAI) to generate candidate words, and we return suggestions. The Service combines a desktop application and a cloud backend.
Voice input, when used, is transcribed entirely on your device; audio never leaves your machine.
The Service is provided as a tool only. Suggestions are not authoritative definitions and are not legal, medical, financial, or other professional advice. You are responsible for evaluating whether any suggestion is appropriate for your use.
2. Eligibility and accounts
You must be at least 16 years old, or the age of digital consent in your jurisdiction if higher, to use the Service.
To use the Service you must create an account through our identity provider (Clerk) using a valid email address that you control. You agree to provide accurate, complete, and current information and to keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us at support@uhhh.ai promptly if you believe your account has been compromised.
3. Free and Pro plans
uhhh.ai is offered on a Free plan and a paid Pro plan. As of the Effective Date:
- Free — 25 picks per rolling 30-day window, beginning with your first pick. Voice input is available on a five-use trial basis. The Free plan has no trial period; it is available immediately on sign-up.
- Pro — CAD $5.99 per month or CAD $60.99 per year. Removes the Free-tier pick limit (subject to the fair-use protections in Section 5), enables live mid-sentence suggestions, unlocks unlimited voice input, and includes additional Pro features described on the uhhh.ai website.
We may change the features of, limits on, or pricing of either plan from time to time. We will notify you of material changes before they take effect; you may cancel before the change takes effect if you do not agree.
4. Subscriptions, billing, and auto-renewal
Pro subscriptions are processed by our payment processor, Paddle, acting as the merchant of record. Paddle’s terms of sale also apply to your purchase. Prices are shown at checkout, inclusive or exclusive of applicable taxes as Paddle indicates.
Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or annually, as you selected) at the then-current price, unless you cancel before renewal. You authorise us, through Paddle, to charge your payment method for each renewal.
Cancellation. You may cancel at any time from Settings → Account → Manage subscription, or directly through the Paddle billing portal. Cancellation takes effect at the end of the current billing period; you retain Pro access until that period ends.
Refunds. We offer pro-rated refunds on request for the unused portion of your most recent billing period. To request a refund, email support@uhhh.ai from the email associated with your account; we will process valid requests within a reasonable time.
If you reside in the European Economic Area, the United Kingdom, Switzerland, or any other jurisdiction with a statutory right of withdrawal for digital subscriptions, that right prevails over this section. By starting your subscription immediately, you may be asked at checkout to expressly consent to immediate performance and to acknowledge that this may affect your right of withdrawal — this is presented at checkout where applicable.
Failed payments. If a renewal payment fails, we may suspend Pro features until payment is resolved. We will not delete your account or your local data solely because of a payment failure.
5. Fair-use protections (Pro)
Pro is intended for ordinary individual use. To prevent abuse and uncontrolled cost (for example, from a stolen credential or an automated script), we enforce two fair-use protections that do not affect normal human usage:
- A daily request ceiling sized well above typical heavy use.
- A per-account monthly usage-cost cap, expressed internally in cost units, that hard-stops at a level well above typical heavy use. We will notify you if your usage approaches this cap.
We will not invoke these protections to limit ordinary use.
6. Acceptable use
You agree not to:
- use the Service to violate any law or third-party right, or to harass, defame, defraud, or harm any person;
- submit content that is unlawful, that infringes intellectual-property rights, that contains personal information of others without lawful basis, that depicts child sexual abuse material, that incites violence, or that otherwise violates these Terms;
- attempt to bypass quotas, rate limits, the fair-use protections, billing, or our security measures, including by creating multiple accounts for the purpose of circumventing Free-tier limits;
- reverse engineer, decompile, or attempt to extract source code, models, or trade secrets from the Service, except to the extent applicable law expressly permits;
- scrape, mirror, redistribute, or sell access to the Service;
- use the Service to build a competing product or to train any machine-learning model.
We may suspend or terminate accounts that violate this Section. We may also rate-limit, throttle, or temporarily disable features for individual accounts where we reasonably believe abuse, fraud, or security risk is present.
7. Your content
You retain ownership of the descriptions, voice input you submit, and other content you create through the Service (“Your Content”). You grant us a limited, non-exclusive, royalty-free, worldwide licence to host, transmit, process, and display Your Content solely to provide the Service for you. This licence terminates when Your Content is deleted, except for backups that rotate out in the ordinary course.
Community-ranking program (opt-in). If, and only if, you opt in to the community-ranking program (off by default), then when you accept a suggestion we may include the description and your chosen word in an anonymised aggregate corpus used to improve ranking and that we may use to fine-tune AI models. Records in this corpus do not include your account identifier. You may turn the program off at any time in Settings → Privacy. See our Privacy Policy for details.
We do not use Your Content from inference requests to train AI models. We do not sell or share Your Content for advertising.
8. Our intellectual property; your licence to the Service
The Service, including all software, designs, text, images, the uhhh.ai name and marks, and all related intellectual property, is owned by us or our licensors and is protected by intellectual-property and other laws.
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the desktop application on devices you own or control, and to use the website, solely for your internal personal or business use. No other rights are granted by implication, estoppel, or otherwise.
9. Third-party services
The Service relies on third-party providers, including those identified in our Privacy Policy (currently Clerk, Paddle, OpenAI, Cloudflare, Vercel, Sentry, Better Stack, and GitHub). Your use of those providers’ services may be subject to their own terms. We are not responsible for third-party services that are independent of the Service.
10. Updates and changes to the Service
We may release updates to the desktop application and make changes to the Service from time to time. The desktop application includes an automatic update mechanism that verifies cryptographic signatures before applying updates; we strongly recommend you keep updates enabled for security reasons. We may discontinue features with reasonable notice for material changes.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that suggestions will be accurate, complete, or fit for your purpose.
Nothing in these Terms limits warranties or rights that cannot be limited under applicable law, including non-excludable statutory guarantees under consumer-protection law in your jurisdiction.
12. Limitation of liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Service, regardless of the theory of liability and even if we have been advised of the possibility of such damages.
Our total cumulative liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100.
The limitations in this Section do not apply to liability that cannot be limited under applicable law, for example in respect of personal injury, fraud, gross negligence, or non-excludable consumer-protection rights in your jurisdiction. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the smallest amount permitted by law.
13. Indemnification
You will defend, indemnify, and hold us harmless from and against any claims, damages, costs, and reasonable legal fees arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your infringement of any third-party right. We will provide notice of the claim and reasonable cooperation in the defence.
14. Termination
You may stop using the Service at any time and delete your account from Settings → Account → Delete account. We may suspend or terminate your account or access for material breach of these Terms, suspected fraud or abuse, or where required by law. We will give reasonable notice where practicable.
On termination, your right to use the Service ends. Sections that by their nature should survive — including provisions on intellectual property, disclaimers, limitation of liability, indemnification, governing law, and miscellaneous matters — will survive.
When you delete your account, we cancel your active subscription (if any), delete your identity record at Clerk, and delete your account data in accordance with our Privacy Policy. The desktop application’s “Forget everything” control wipes the on-device data store on your device.
15. Governing law and venue
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to its conflict-of-laws principles. Subject to mandatory consumer-protection laws in your country of residence, the courts of competent jurisdiction in Edmonton, Alberta will have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
If you are a “consumer” under applicable consumer-protection legislation, including Alberta’s Consumer Protection Act, Quebec’s Consumer Protection Act and Law 25, and equivalent laws elsewhere, nothing in this section overrides any non-waivable right you have under that legislation.
Informal resolution. Before filing a claim, you agree to contact us at support@uhhh.ai with a description of the dispute and to give us 30 days to attempt to resolve it informally.
Nothing in this Section prevents you from bringing a complaint to a consumer-protection or data-protection authority of your country.
16. Notices and changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in the application before the change takes effect. Your continued use of the Service after the change takes effect constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription and stop using the Service.
You may give us notice at support@uhhh.ai. We may give you notice at the email address associated with your account or in the application.
17. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy and any document expressly incorporated by reference, are the entire agreement between you and us regarding the Service and supersede any prior or contemporaneous communications.
- Severability. If any provision is held unenforceable, the rest will remain in effect, and the unenforceable provision will be reformed to the minimum extent necessary.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a corporate transaction.
- Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
- No agency. No partnership, joint venture, agency, or employment relationship is created by these Terms.
- Language. These Terms are written in English. If we provide a translation, the English version controls except where local law requires otherwise.
